1. Who these terms apply to
These Terms of Service ("Terms") form a binding agreement between you and Magma Charging Technologies Private Limited ("Magma"). They apply to:
- Drivers using the Magma rider app or any Magma ChargeSpot to initiate a charging session.
- Vendors who purchase Magma hardware and host chargers at their business premises.
- Operators who purchase chargers in volume, deploy them through vendor partners, and manage them via Magma CSMS.
- Developers and API users accessing Magma's OCPP, OCPI or REST APIs.
By using any Magma service, you agree to these Terms. If you do not agree, do not use our services.
2. Vendor terms
- Hardware purchase — title transfers to you on full payment. Risk of loss transfers on delivery.
- Installation — Magma installs the charger at the agreed site. You must provide a suitable electrical connection and permit access.
- Revenue share — you receive 85% of net session revenue after payment gateway fees. Settlement runs weekly every Monday.
- Site responsibility — you are responsible for maintaining a safe, accessible and powered site. Magma is not liable for lost revenue due to power outages or site access issues.
- Charger relocation — you may not relocate a charger without written consent from Magma. Relocation requires a new site survey and recommissioning.
- Termination — you may exit the vendor programme with 30 days written notice. Magma will de-provision the charger from CSMS. Hardware remains yours.
- Exclusivity — you are free to host third-party chargers at your site. Magma does not require exclusivity.
3. Operator terms
- Volume purchase — pricing, delivery schedule and commissioning timelines are set out in your Operator Agreement, which supplements these Terms.
- CSMS licence — Magma grants you a non-exclusive, non-transferable licence to use Magma CSMS for the duration of your subscription.
- White-label — you may brand the CSMS under your own name. You may not remove Magma's copyright notices from source code or documentation.
- Vendor relationships — you are responsible for your vendors' compliance with applicable law, including EV charging regulations and GST.
- Data — session CDRs for your chargers are available via API and CSMS for 7 years. Magma retains a copy for audit purposes.
- SLA — the uptime SLA for CSMS is 99.9% per month, measured as OCPP relay availability, excluding scheduled maintenance.
4. Driver and rider app terms
- Sessions — you initiate a session by scanning a QR code or using RFID. A session is confirmed only when the charger sends a StartTransaction acknowledgement.
- Payment — payment is collected at session end (or in advance for pre-paid modes). All charges are displayed before session start.
- Refunds — if a session fails to deliver energy after payment, you will be refunded within 24 hours to the original payment method.
- Session limits — you may not use commercial quantity of electricity for non-EV purposes. Magma reserves the right to cap session duration or energy on congested sites.
- Account suspension — repeated misuse, fraudulent payment attempts or damage to hardware may result in account suspension.
5. API and developer terms
- API keys are non-transferable. You may not share, resell or sublicence API access.
- Rate limits — default 1,000 requests/min per key. Exceeding limits results in HTTP 429. Contact us for higher limits.
- OCPP usage — you may connect third-party OCPP-compliant chargers to your Magma CSMS account. You are responsible for those chargers' compliance.
- Webhooks — you must acknowledge webhooks within 30 seconds. Failed deliveries are retried 5× with exponential backoff.
- Sandbox — the sandbox environment is for testing only. Sessions, payments and CDRs in sandbox are synthetic and not settled.
6. Intellectual property
Magma retains all intellectual property rights in the CSMS platform, OCPP implementation, hardware designs, firmware, mobile applications and documentation. You receive a licence to use these — not ownership.
You retain ownership of your data (session records, vendor accounts, site configurations). Magma processes this data as a data processor acting on your instructions.
7. Liability
- Magma's total liability to you in any 12-month period is limited to the greater of: (a) the total fees you paid Magma in that period, or (b) ₹50,000.
- Magma is not liable for indirect, consequential, or loss-of-profit damages.
- Magma is not liable for charger downtime caused by grid outages, acts of god, vandalism, or third-party hardware failures.
- Nothing in these Terms limits liability for death, personal injury, or fraud caused by Magma's negligence.
8. Governing law and disputes
These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act 1996, with seat at Bengaluru, Karnataka.
Consumer disputes may be referred to the appropriate consumer forum under the Consumer Protection Act 2019.
9. Changes to these terms
We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of our services after that date constitutes acceptance of the revised Terms.
